Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Maniac, Inc. ("Maniac", "we", "us"). By downloading, installing, or using the Maniac app, website, or hosted services (the "Services"), you agree to these Terms. If you do not agree, do not use the Services.

Maniac is a native macOS application that runs open AI models locally on your Mac, together with optional hosted components such as Maniac Gateway, cloud execution, and connectors to third-party tools. Some features run entirely on your device; others depend on our or third parties' servers and require connectivity.

You must be at least 13 years old (or the minimum age in your jurisdiction) and able to form a binding contract to use the Services. If you create an account, you are responsible for keeping your credentials secure and for activity under your account.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the Maniac app for your personal or internal business purposes. You may not copy, modify, distribute, sell, reverse engineer, or create derivative works of the proprietary parts of the Services except as permitted by law or an applicable open-source license.

Parts of our stack — including the Mach inference engine and the Mach agent framework — are released as open source under their own licenses. Those licenses govern your use of those components and, in case of conflict, take precedence over these Terms for that component.

You agree not to use the Services to:

• Violate any law or the rights of others, including intellectual property and privacy rights.
• Generate or distribute unlawful, harmful, or abusive content, or content that infringes others' rights.
• Attempt to gain unauthorized access to systems, disrupt the Services, or circumvent security or usage controls.
• Misuse connected third-party accounts or exceed the access you are authorized to grant.
• Resell or commercially redistribute the hosted Services without our written permission.

The Services can connect to third-party tools and model providers. Your use of those services is governed by their terms, and you are responsible for the permissions you grant. We are not responsible for third-party services and do not control their availability or content.

AI models can produce inaccurate, incomplete, or offensive output, and the same prompt may produce different results. You are responsible for reviewing and verifying output before relying on it, and for any actions you take based on it. Do not rely on the Services for professional advice (legal, medical, financial, or otherwise).

Some features are free; others require a paid plan. Paid plans are billed in advance on a recurring basis through our payment processor and renew automatically until cancelled. You can cancel at any time, effective at the end of the current billing period. Except where required by law, fees are non-refundable. We may change pricing prospectively with notice.

As between you and us, we own the Services and all related intellectual property, except for open-source components and your content. You retain all rights to the prompts, files, and outputs you create with the Services ("Your Content"). You grant us only the limited rights needed to operate the Services and perform the tasks you request.

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, Maniac, Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability for any claim relating to the Services will not exceed the greater of the amount you paid us in the twelve months before the claim or USD $100. Some jurisdictions do not allow these limitations, so they may not apply to you.

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Services, your content, or your violation of these Terms or applicable law.

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms or to protect the Services or other users. Provisions that by their nature should survive termination will survive.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction, except where applicable law gives you the right to bring a claim elsewhere.

We may update these Terms from time to time. We will post the updated version here and revise the effective date; for material changes we will provide reasonable notice. Continued use of the Services after changes take effect means you accept them.
